Terms of Service

Welcome to WA.cr. These Terms of Service (the Terms) are a legal agreement between you and KDC Tek Private Limited (we, us, our), the company that operates WA.cr. By creating an account, connecting a WhatsApp Business account, or otherwise using WA.cr, you agree to these Terms. If you are accepting on behalf of a business, you confirm that you are authorised to bind that business.
1. What WA.cr is
WA.cr is an India-hosted platform layer built on Meta's official WhatsApp Cloud API. We operate as a Meta Tech Provider, helping you send messages, run broadcasts, manage a catalogue, take orders and serve customers on WhatsApp — with an audit trail on every action. WA.cr is software-as-a-service: we provide the platform, but the messages, products and customer relationships are yours.
2. Eligibility & your account
- You must be at least 18 years old and able to enter into a binding contract.
- You are responsible for the accuracy of your account, business and tax details, for keeping your credentials secure, and for all activity that happens under your account.
- Where verification (KYC) is required, you agree to provide genuine documents. Verification is carried out through KDC's own verification pipeline.
- Tell us promptly at admin@kdc.in if you suspect any unauthorised use of your account.
3. Acceptable use
Your use of WA.cr must follow our Acceptable Use Policy, the WhatsApp Business Messaging Policy and Meta's Commerce and platform policies. In short: message only people who have opted in, never send spam or prohibited content, and respect every opt-out. Breaching these rules can lead to suspension by us or by Meta.
4. WhatsApp, Meta & third-party terms
WA.cr runs on infrastructure and services provided by others. Your use of WhatsApp messaging is additionally governed by the WhatsApp Business Solution Terms and Meta's policies, which pass through to you. We also rely on trusted providers to deliver the service, including:
- Meta Platforms / WhatsApp / Facebook — message delivery and the WhatsApp Cloud API.
- Google Cloud — hosting and storage, in the Mumbai region (
asia-south1). - Cloudflare — content delivery, DNS and security.
- Zaakpay — processing of card and UPI payments.
- Zoho ZeptoMail — transactional email.
- Google Analytics — website usage measurement, where enabled.

5. Fees & billing
- WA.cr is offered on subscription plans, billed in Indian Rupees (₹) or, for international customers, United States Dollars (US$). Applicable taxes are added at checkout.
- WhatsApp conversation charges set by Meta are passed through to you and may carry a platform markup; the applicable rates and your usage are recorded against your account and itemised in your console.
- Partners on a prepaid wallet must keep sufficient balance; sending may pause if the balance runs out.
- Subscriptions renew automatically until cancelled.
- Plan changes. Upgrading takes effect immediately and is charged pro-rata for the remainder of the current period; downgrading (and switching between monthly and annual billing) is scheduled for the next renewal, with no charge and no pro-rata credit. The plan price you subscribe at is grandfathered — it stays fixed for as long as you remain on that plan, even if we later change the list price; changing plans re-prices you to the plan you move to at its then-current rate.
- Failed renewals. If a renewal payment fails, your plan is not cancelled immediately — the payment gateway retries over its standard dunning window (several days) and your plan stays active meanwhile. Your subscription is auto-cancelled only after those retries are exhausted. A low wallet balance does not cancel your plan.
- WA.cr message footer. On the Base, Trial and Starter plans, interactive messages (buttons, lists, product and catalogue cards, Flows) carry a short “^ WA.cr” suffix in the message footer. You may still add your own footer text (up to 52 characters) ahead of the suffix. Plans from Growth upwards may use the full 60-character footer with no suffix.

6. Refunds
Fees and prepaid balances are non-refundable. We have written this in plain, friendly terms — including what you can do, like cancelling future renewals and keeping access until the end of your paid period — in our Refunds & Cancellation policy.
7. Your content & our platform
You keep all rights to your messages, catalogue, media and customer data (Your Content). You grant us a limited licence to host and process Your Content solely to provide WA.cr. We keep all rights to the WA.cr platform, software, brand and documentation; nothing here transfers our intellectual property to you.
8. Data protection
We handle personal data in line with our Privacy Policy and India's Digital Personal Data Protection Act, 2023. For end-customer data you process through WA.cr, you are the data fiduciary and we act as your data processor under a Data Processing Addendum.
9. Service availability & warranties
We work hard to keep WA.cr reliable, but the platform is provided on an “as is” and “as available” basis. We do not guarantee that the service will be uninterrupted or error-free, and we are not responsible for outages or changes on third-party platforms such as WhatsApp or Meta. Any service-level commitments, where offered, are set out in your Service Level Agreement.
10. Limitation of liability
To the extent permitted by law, neither party is liable for indirect, incidental or consequential losses, or for lost profits, revenue or data. Our total liability arising out of or relating to the service is limited to the fees you paid us for WA.cr in the three months before the event giving rise to the claim. Nothing here limits liability that cannot be limited under applicable law.
11. Indemnity
You agree to indemnify us against claims arising from Your Content, your use of WA.cr in breach of these Terms, or your breach of WhatsApp, Meta or applicable laws.
12. Suspension & termination
You may stop using WA.cr at any time. We may suspend or terminate access if you breach these Terms or the Acceptable Use Policy, if required by Meta or by law, or to protect the platform and its users. On termination, your right to use WA.cr ends; data is retained or deleted in line with our Privacy Policy.
13. Governing law & jurisdiction
These Terms are governed by the laws of India. The courts at Mumbai, India will have exclusive jurisdiction over any dispute arising from or relating to these Terms or your use of WA.cr.
14. Changes to these Terms
We may update these Terms from time to time. When we make material changes, we will update the date above and, where appropriate, notify you. Continuing to use WA.cr after changes take effect means you accept the updated Terms.
